These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “Client,” or “Customer”) and Raichu.ai (“we,” “us,” or “our”).

By accessing or using our chatbot platform and related services (the “Service”), you agree to be bound by these Terms and our Privacy Policy.

Raichu.ai provides software tools and integrations through BM133 that allow businesses to build and manage chatbots on websites and social media platforms, including Facebook, Instagram, WhatsApp, and TikTok.

We may enhance, update, or modify the Service at any time, provided such changes do not materially reduce core functionality.

Your use of the Service does not grant ownership of any part of the Raichu.ai platform or intellectual property.

• To use the Service, you must create an account with accurate information and maintain the confidentiality of your login credentials.
• You are fully responsible for all activity under your account.
• You must be at least 18 years old (or of legal age in your jurisdiction) to register.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

a. Billing: Raichu.ai operates on a subscription basis. Fees are charged in advance for each billing cycle according to your selected plan (monthly, yearly, or custom).

b. Automatic Renewal: Unless cancelled, your subscription automatically renews at the end of each billing cycle.

c. Payment Methods: You authorize Raichu.ai or its processors to charge your designated payment method. If a payment fails, access may be suspended until resolved.

d. Refunds: All payments are non-refundable, except where required by law or if Raichu.ai cancels the Service without cause.

e. Price Changes: We may revise pricing with prior notice. New prices apply upon renewal unless you cancel before the next billing date.

You agree not to use the Service for unlawful, abusive, or harmful purposes, including:

• Sending spam or deceptive messages;
• Hosting or transmitting malicious code;
• Collecting or misusing personal data;
• Violating third-party platform terms (including the policies of Meta/Facebook, Instagram, WhatsApp, and TikTok);
• Attempting to reverse engineer or copy the Service.

Violation of this section may result in suspension or termination without refund.

• Raichu.ai is designed with privacy and security in mind.
• We process and store end-user message and profile data strictly on behalf of the business using our Service, to provide automated responses and CRM functionality.
• You, as the Client, remain the data controller for your customers. You are responsible for ensuring you have the necessary consents to interact with users via Facebook, Instagram, WhatsApp, and TikTok.
• We may process aggregated, anonymized, or technical data (such as usage statistics) solely to maintain and improve platform performance.
• Your use of the Service, and our handling of data, is strictly governed by our Privacy Policy.

Raichu.ai and its licensors own all intellectual property rights in the Service, including software, code, logos, and trademarks.

You retain ownership of any content or data you provide and grant Raichu.ai a limited, non-exclusive license to use it for operating the Service.

You may not copy, modify, distribute, or create derivative works of the Raichu.ai platform without prior written consent.

You may cancel your subscription at any time.

Raichu.ai may suspend or terminate your account if:

• You violate these Terms;
• You fail to pay fees when due;
• You misuse or abuse the Service; or
• Required by law or regulation.

Upon termination, your access ends immediately. You remain responsible for unpaid fees accrued before termination.

Raichu.ai provides the Service “as is” and “as available”, without warranties of any kind. We do not guarantee uninterrupted operation, error-free performance, or specific outcomes.

To the maximum extent permitted by law, Raichu.ai is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability shall not exceed the amount paid by you to Raichu.ai in the twelve (12) months prior to the claim.

• Modifications: We may update these Terms from time to time. The “Updated” date reflects the latest version. Continued use of the Service after changes constitutes acceptance.
• Governing Law: These Terms are governed by the laws of United Arab Emirates. Disputes will be resolved in the courts of Dubai, United Arab Emirates.
• Severability: If any provision is held invalid, the remainder remains in effect.
• Assignment: You may not transfer these Terms without our written consent.
• Entire Agreement: These Terms and the Privacy Policy represent the full agreement between you and Raichu.ai.
